Terms for Auction of Storage Unit Contents

These Terms govern the sale of contents of storage unit being auctioned (the “Unit”) by Seller Auction Drop, LLP (the "Seller") to the successful bidder (the “Buyer”). By bidding or completing payment, Buyer accepts and agrees to these Terms.

1. Sale, Payment, and Receipt

• Sale. Buyer acknowledges the bid is for all items contained in the Unit and agrees to accept the Unit contents in their entirety.
• Payment. Buyer must pay the full winning bid immediately at the conclusion of the auction by the payment methods posted on the auction page.
• Sales Tax. Unless Buyer provides a valid resale certificate acceptable to Seller at time of payment, applicable sales tax will be collected and is due with payment.
• Receipt. Seller will provide a written receipt showing bid amount, taxes collected (if any), Unit number, and date upon payment.

2. Condition; No Warranties; As Is, Where Is

• As Is, Where Is. All items are sold “AS IS, WHERE IS,” with all faults and without any express or implied warranties of merchantability, fitness for a particular purpose, authenticity, description, or condition.
• Descriptions. Any photos, previews, or descriptions provided are statements of opinion only and are not guarantees of condition, value, authenticity, age, materials, or other characteristics.

3. Removal, Access, Fees, and Default

• Removal Deadline. Buyer must remove all items from the Unit within 48 hours after auction end unless an extension is agreed to in writing by Seller and any required extension fee is paid.
• Access. Seller will coordinate pickup at the storage facility. No more than one removal day (multiple trips same day allowed) will be granted by Seller unless otherwise agreed.
• Extension Fee. If Buyer requests an extension prior to the 48-hour deadline, Seller may permit an extension for a fee of $20 per day.
• Failure to Remove. If Buyer fails to remove all items within the permitted period (including any paid extension), Buyer forfeits title to the remaining items, and Seller may: (a) charge Buyer for Seller’s reasonable costs to remove, store, transport or dispose of remaining items; (b) dispose of items and retain the purchase price as liquidated damages; and/or (c) pursue any other remedy available at law or equity. Buyer remains liable for all fees and costs incurred.
• Storage Facility Liens. Buyer acknowledges that the storage facility may assert its own rules and liens; Seller is not responsible for additional facility fees, fines, or liens imposed by the facility.

4. Risk of Loss; Title; Third-Party Claims

• Risk of Loss. Risk of loss or damage to purchased items transfers to Buyer upon payment in full. If items remain on facility property awaiting pickup, Buyer assumes all risk.
• Title. Title transfers to Buyer upon payment, except that Seller reserves remedies for Buyer’s default as stated in these Terms. Seller makes no representations regarding the absence of third-party claims, security interests, or liens on items. Buyer assumes responsibility for verifying title and resolving claims.

5. Liability, Indemnity, and Release

• Release. To the maximum extent permitted by law, Buyer releases Seller, the storage facility, the auction platform, and their respective owners, agents, employees, contractors, successors and assigns from all claims, liabilities, losses or expenses (including attorney fees) arising out of or related to the sale, condition, use, transport, storage, or disposition of purchased items.
• Indemnity. Buyer will indemnify, defend and hold harmless Seller and the storage facility from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorney fees) arising from Buyer’s removal, handling, use, resale, storage, transport, or disposal of purchased items, Buyer’s breach of these Terms, or Buyer’s conduct on facility property.
• No Facility Liability. The storage facility is a separate party that stores the Unit and enforces its own rules. Buyer agrees not to hold the facility liable for any aspect of the auction, sale, or removal of items; claims should be brought (if at all) only against Seller except where the facility is independently negligent.

6. Eligibility, Conduct, Dispute Resolution, and General Provisions

• Eligibility. Bidders must be 18 years of age or older. By bidding, Buyer represents and warrants they meet this requirement.
• Conduct. Buyer must comply with all facility rules, safety directions, and applicable laws while on premises. Seller may deny pickup or future participation to any Buyer who violates rules or behaves improperly.
• Remedies. Remedies under these Terms are cumulative and in addition to any rights at law or equity. Seller may charge Buyer for collection costs, including reasonable attorney fees.
• Governing Law and Venue. These Terms are governed by the laws of the State of Arizona. Any dispute arising from these Terms shall be brought in the state or federal courts located in Phoenix, AZ.
• Severability; Entire Agreement. If any provision is held invalid, the remaining provisions remain enforceable. These Terms, together with the auction listing and any posted pickup instructions, constitute the entire agreement between Buyer and Seller regarding the sale.
• Amendment. Seller may amend these Terms by posting updated Terms on the auction page; the Terms in effect at the time of the auction govern that sale.

By bidding on or paying for the Unit, Buyer acknowledges receipt of these Terms, understands them, and agrees to be bound by them.
